Formichella & Sritawat Attorneys at Law Co., Ltd. (“FOSR”) is a law office registered with the Lawyers Council of Thailand under the Royal Patronage, providing independent legal advice and representation in Thailand. Our legal services are provided in accordance with Thai law and the professional and ethical obligations applicable to lawyers practicing in Thailand.

Independent Legal Advice

As a registered law office, FOSR provides legal services through lawyers who are subject to the applicable laws, regulations, and professional obligations governing legal practice in Thailand.

FOSR provides independent legal advice based on the circumstances of each client and matter.

Our lawyers advise on the legal and regulatory implications of proposed transactions, structures, and courses of action, identify material legal risks, and, where appropriate, advise on lawful restructuring, remediation, and alternative approaches.

FOSR will not undertake or continue work that cannot properly be performed in accordance with applicable law, professional obligations or the Firm’s professional standards.

Foreign Ownership, Landholding and Nominee Arrangements

FOSR advises on Thai foreign ownership, landholding, and corporate law, including reviews of existing and proposed structures and advice on lawful restructuring and remediation.

FOSR does not provide, source, or arrange for shareholders, landholders, titleholders, or third-party entities to hold land, shares, or other assets for clients.

The Firm does not participate in, facilitate, or arrange nominee structures or other arrangements intended to circumvent restrictions imposed by Thai law on foreign ownership, foreign business activities, or landholding.

Clients who are concerned that an existing ownership, shareholding or landholding structure may not comply with Thai law may seek advice from FOSR. In such matters, our role is to advise independently on the existing position, potential legal and regulatory exposure, and lawful options for restructuring, remediation or other appropriate action.

Outside Businesses and Commercial Services

FOSR is institutionally separate from outside businesses and commercial or professional service providers in which individual partners, lawyers, employees, consultants or related persons may have an interest.

The fact that an individual associated with FOSR also owns, manages, advises, works with or has an interest in another business does not, by itself, make that business part of FOSR or mean that its services are provided, approved or endorsed by the Firm.

FOSR assumes professional responsibility only for legal services that have been formally accepted by the Firm as part of an authorized FOSR engagement.

Referrals and Third-Party Service Providers

Where appropriate, FOSR may introduce clients to independent professionals or service providers whose services fall outside the Firm’s engagement.

Clients remain free to select another provider.

Unless expressly agreed otherwise in writing by FOSR, an outside provider acts independently and is responsible for its own services, advice and conduct.

Engagement of FOSR

Contacting FOSR, submitting an inquiry through this website, attending a seminar or meeting, or communicating with an individual partner, lawyer, consultant, or staff member does not, by itself, create a lawyer-client relationship.

A matter is accepted by FOSR only through the Firm’s applicable conflict, professional-review and engagement procedures.

Statements or communications by an individual associated with FOSR do not constitute Firm approval or endorsement of an outside business, commercial service, investment, ownership structure or other arrangement unless that position has been expressly confirmed by FOSR through an authorized Firm engagement or communication.

Confidentiality and Client Information

FOSR handles client information in accordance with applicable Thai law, professional obligations and the Firm’s confidentiality, data-protection and information-security requirements.

Prospective clients should provide only the information reasonably necessary for FOSR to consider an initial inquiry until the Firm has confirmed that it can proceed with the proposed engagement.
